Terms of Service

These Terms of Service (hereinafter “Terms”) govern the use of the Resply platform, an AI-powered automated customer support service published by Resply SAS.

By creating an account or using the Service, you accept these Terms without reservation. If you do not accept these terms, you may not use the Service.

Resply is an automated customer-support SaaS solution that lets companies:

• Deploy an AI conversational agent on their website
• Automate answers to customers' frequently asked questions
• Manage and supervise conversations from a dashboard
• Analyze customer-support performance
• Integrate a custom knowledge base

The Service uses artificial-intelligence technologies (OpenAI GPT-4o mini) to generate contextual answers based on your knowledge base.

To use the Service, you must create an account by providing accurate and up-to-date information. You are responsible for keeping your login credentials confidential.

By using the Service, you agree to:

• Use the Service in accordance with its purpose
• Not use the Service for illegal or fraudulent purposes
• Not attempt to bypass security measures
• Not intentionally overload the infrastructure
• Respect intellectual property rights
• Provide lawful content in your knowledge base

Any breach of these obligations may result in the suspension or termination of your account without notice or refund.

Resply owns all intellectual property rights relating to the Service, including the software, interface, algorithms, documentation and trademark.

You retain ownership of your data and content (knowledge base, conversations). You grant Resply a limited license to process this data in order to provide the Service.

The Service's prices are shown on our pricing page and may be changed with 30 days' notice. Payments are processed by Stripe.

• Billing: Monthly or annual, as you choose
• Free trial: 14 days, no commitment or credit card
• Refund: Pro rata in case of annual termination
• Overage: Automatic billing based on quotas

The contract is entered into for an indefinite term. You can cancel at any time from your customer area, effective at the end of the current billing period.

Resply may suspend or terminate your access in case of breach of the Terms, non-payment, or abusive behavior. Upon termination, your data will be kept for 30 days and then deleted.

Resply undertakes to provide the Service with due diligence. However, the Service is provided “as is” and Resply does not guarantee:

• The accuracy of AI-generated answers
• 100% availability of the Service
• The complete absence of bugs or errors

Resply's liability is limited to the amount of sums paid over the last 12 months. Resply cannot be held liable for indirect damages.

Resply reserves the right to modify these Terms. You will be informed by email at least 30 days before substantial changes take effect.

Continued use of the Service after that date constitutes acceptance of the new terms.

These Terms are governed by French law. In case of dispute, the parties will endeavor to reach an amicable solution. Failing that, the courts of Paris will have sole jurisdiction.
